1. Parties Involved
This Service Agreement (“Agreement”) is entered into between I Vend Solutions LLC, a vending solutions provider (“Provider”), and the business or property owner (“Client”) who has requested a vending machine installation through www.ivendsolutions.com.
2. Purpose
The purpose of this Agreement is to outline the terms and conditions under which IVend Solutions LLC will install, stock, and maintain vending machines at the Client’s location.
3. Service Overview
- The Provider will install a vending machine free of cost at the Client’s designated location.
- The provider will stock and maintain the machine.
- The Provider owns all products inside the machine.
- The Client will not be responsible for any costs related to installation, inventory, or maintenance.
4. Client Responsibilities
- Provide a clean, accessible, and secure space for the vending machine.
- Ensure the location has a working electrical power outlet.
- Allow the Provider access for restocking and servicing the machine during reasonable hours.
- Notify the Provider of any issues, damage, or access restrictions promptly.
5. Provider Responsibilities
- Install a modern vending machine suitable for the location.
- Keep the machine stocked with quality snacks and beverages.
- Perform regular maintenance and monitoring.
- Respond to service or refill requests promptly.
6. Ownership & Liability
- The vending machine and its inventory remain the sole property of I Vend Solutions LLC.
- The Provider is not liable for lost sales due to power outages, vandalism, or environmental issues beyond their control.
- The Client agrees not to tamper with or relocate the machine without written permission.
7. Termination of Service
- Either party may terminate this agreement with 15 days’ written notice.
- Upon termination, the Provider will remove the vending machine within a reasonable timeframe.
- Early termination by the Client without notice may result in recovery fees for damages or loss.
8. Modifications
Any changes or updates to this Agreement must be made in writing and signed by both parties.
9. Governing Law
This Agreement shall be governed under the laws of the State of [Insert Your State], United States.
